Terms of Service

These Terms of Service ("Terms") govern your use of the hoito platform ("Platform", "Service") operated by hoito health Ltd (Argyle House, Gandy Street, Exeter, EX4 3LS) (\operated by hoito ("we"quot;we\operated by hoito ("we"quot;, "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Definitions

  • "Owner" — a person or entity that registers to manage a therapy practice on hoito, including room management, therapist invitations, and billing.
  • "Therapist" — a professional invited by an Owner to use the Platform for booking rooms and managing clients.
  • "Client" — an individual who receives therapy services and interacts with the Platform to complete forms, book sessions, or communicate with their therapist.
  • "User" — any Owner, Therapist, or Client.

2. Account Terms

2.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2.2 Account Types

  • Owner accounts may create and manage organisations, invite therapists, configure rooms, and manage billing.
  • Therapist accounts are created via invitation from an Owner. Therapists may book rooms, manage their own clients, and access features enabled by the Owner.
  • Client accounts are created when a therapist adds a client or when a client completes a form. Clients have limited access scoped to their own data.

2.3 Account Security

You must notify us immediately at support@hoito.health if you believe your account has been compromised. We are not liable for losses arising from unauthorised use of your account.

3. Subscription & Payment Terms

3.1 Plans & Billing

Owners subscribe to a paid plan to access the Platform. Subscriptions are billed monthly or annually in advance via Stripe. Prices are displayed in GBP and are exclusive of VAT unless stated otherwise.

3.2 Free Trials

We may offer free trial periods. At the end of a trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

3.3 Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for partial billing periods. Statutory consumer rights under UK law are unaffected.

3.4 Price Changes

We may change our prices with at least 30 days' written notice. Continued use of the Platform after a price change constitutes acceptance of the new price.

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Impersonate another person or misrepresent your affiliation
  • Attempt to gain unauthorised access to the Platform or other users' accounts
  • Interfere with or disrupt the Platform's infrastructure
  • Upload malicious code, viruses, or harmful content
  • Scrape, crawl, or harvest data from the Platform without permission
  • Use the Platform to store or process data unrelated to therapy practice management
  • Resell access to the Platform without our written consent

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Owner Responsibilities

As an Owner, you are responsible for:

  • Ensuring your practice complies with all applicable laws and professional regulations
  • Obtaining appropriate consents from clients for data processing (see our Privacy Policy)
  • Managing therapist access and permissions within your organisation
  • Maintaining accurate billing information
  • Ensuring that any clinical data entered into the Platform is handled in accordance with your professional obligations

6. Therapist Responsibilities

As a Therapist, you are responsible for:

  • Maintaining valid professional registration and insurance
  • Using the Platform in accordance with your professional code of ethics
  • Protecting client confidentiality when using Platform features
  • Complying with the Owner's policies for the practice you are associated with

7. Client Terms

As a Client, you acknowledge that:

  • Your use of the Platform is to interact with your therapist and their practice
  • Clinical decisions are made by your therapist, not by hoito
  • You should contact your therapist or practice directly for clinical concerns
  • In an emergency, you should contact emergency services (999) or your GP

8. Intellectual Property

The Platform, including its design, code, logos, and content, is owned by hoito and protected by UK and international intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our written consent.

You retain ownership of all content you upload to the Platform. By uploading content, you grant us a limited licence to store, process, and display that content solely for the purpose of providing the Service.

9. Data Protection

We process personal data in accordance with our Privacy Policy. Where we process personal data on behalf of an Owner (as a Data Processor), we do so under the terms of our Data Processing Agreement, which is incorporated into these Terms by reference.

10. Availability & Support

We aim to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. We provide support via email at support@hoito.health.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for clinical outcomes, therapeutic decisions, or any harm arising from the therapist-client relationship.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless hoito from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

13. Termination

  • You may close your account at any time from your account settings.
  • We may suspend or terminate your account if you breach these Terms, with notice where practicable.
  • On termination, we will retain your data in accordance with our Privacy Policy and applicable law. You may request data export before closing your account.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you retain any mandatory consumer protection rights afforded to you by the law of your country of residence.

16. General

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • Entire agreement: These Terms, together with our Privacy Policy and any Data Processing Agreement, constitute the entire agreement between you and hoito.
  • No waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
